Notification of transactions of Directors/Persons Discharging Managerial Responsibilities

Wolseley plc (the "Company") announces the following change in the interests in the ordinary shares of 10 ⁵/₁₁ pence each in the share capital of the Company (the "Shares").

Following receipt by the Company of an application from an employee relating to the exercise of options under the Wolseley Share Option Plan 2003 ("the Plan"), the Company chose to net settle certain of the options by delivering Shares with a market value equal to the settlement value of the options (being the difference between the option price and the market value of the option Shares).

The following Director/Person Discharging Managerial Responsibility exercised options under the Plan on 25 October 2013. The table below shows the number of options exercised, the total Shares received following net settlement and the number of Shares sold to satisfy payment of income tax and dealing fees.

The options vesting under the Plan were exercised at an option price of £30.98.  The price for disposal of Shares was £33.03.
