Notification of transactions of Directors/Persons Discharging Managerial Responsibilities

Wolseley plc (the "Company") announces the following changes in the interests in the ordinary shares of 10 ⁵³/₆₆ pence each in the share capital of the Company (the "Shares").

On 2 December 2013, the following Directors/Persons Discharging Managerial Responsibility were awarded Shares following the vesting of share awards granted in December 2010 under the Wolseley Group Long Term Incentive Scheme 2010 (the "Plan").  The table below shows the number of Shares vested under the Plan and transacted on 2 December 2013.

The Shares vesting under the Plan were received for nil consideration.  The price for the disposal of Shares was 3,302.1 pence.
