Notification of transactions of Directors/Persons Discharging Managerial Responsibilities

Wolseley plc (the "Company") announces the following changes in the interests in the ordinary shares of 10 ⁵³/₆₆ pence each in the share capital of the Company (the "Shares").

Following receipt by the Company of an application from an employee relating to the exercise of options under the Wolseley Group Share Option Plan 2010 (the "Plan"), the Company chose to net settle certain of the options by delivering Shares with a market value equal to the settlement value of the options (being the difference between the option price and the market value of the option shares).

The following Director/Person Discharging Managerial Responsibility exercised options under the Plan on 28 March 2014.  The table below shows the number of options exercised, the total Shares received following net settlement and the number of Shares transacted on 28 March 2014.

The Shares vesting under the Plan were exercised at an option price of 1,855 pence per Share. The price for the disposal of Shares was 3,427.5 pence.
