Notification of Transactions of Directors/Persons Discharging Managerial Responsibility and Connected Persons

Wolseley plc (the "Company") hereby confirms the following share purchase made by Frank Roach, a Director of the Company, under the dividend reinvestment arrangements of Deutsche Bank Trust Company Americas (as its American Depositary Receipt ("ADR") depositary), for American Depositary Shares ("ADS").  An ADS represents one-tenth of an ordinary share in the capital of the Company.  ADSs are evidenced by ADRs issued by the depository.   

The following notification was received by the Company from Mr Roach on 13 May 2015 in respect of the interim dividend for the year ended 31 July 2015 which was paid on 30 April 2015.  Under the dividend reinvestment plan Mr Roach purchased 87.2443 ADSs on 7 May 2015 at a purchase price of $5.940700 per ADS.  The transaction took place in the USA.
