Wolseley Group Ordinary Share Plan 2011 ("Plan")

This notification sets out information relating to the vesting of a conditional share award under the Plan granted to a senior executive in November 2012 who, since the date of the award, changed role and is now a PDMR.

A conditional share award granted to Patrick Headon on 6 November 2012 of 4,970 Shares vested for nil consideration on 6 November 2015 under the terms of the Plan.

This disclosure is made pursuant to the Financial Conduct Authority's Disclosure and Transparency Rule 3.1.4 R. The transaction took place in the UK.
