NOTIFICATION OF A TRANSACTION BY A PERSON DISCHARGING MANAGERIAL RESPONSIBILITIES ("PDMR") IN ORDINARY SHARES OF 10 ⁵³/₆₆p EACH IN THE COMPANY ("Shares")

The Wolseley Group Employee Share Purchase Plan 2011 (the 'ESPP')

Following the maturity of his savings contract, Shares granted under the ESPP in April 2015 at an option price of 3,348 pence, were transferred out of treasury on 25 May 2016 as follows:

The Company was notified of this transaction on 25 May 2016.  These Shares will be delivered in the form of American Depository Shares, each representing one-tenth of an ordinary share in the capital of Wolseley plc.  Mr Roach's beneficial holding has been increased as a result of this transfer.
