Ordinary shares of 25p each

Wolseley plc hereby notifies that on 19 March 2001, the trustee of the
Wolseley plc Qualifying Employee Share Ownership Trust (the 'Trust')
subscribed for 296,432 ordinary shares in Wolseley plc (the 'Company') at a
price of 425.75 pence per share. These shares were acquired for use in
connection with the company's sharesave scheme (the 'Scheme').

As beneficiaries of the Trust and as participants in the Scheme, certain
directors have an interest in these shares for the purposes of Section 324 of
the Companies Act 1985.
