Wolseley plc hereby notifies that on 25 March 2002, the trustee of the Wolseley
plc Qualifying Employee Share Ownership Trust (the 'Trust') subscribed for
328,137 ordinary shares in Wolseley plc at a price of 704.5 pence per share.
These shares were acquired for use in connection with the company's sharesave
scheme (the 'Scheme').

As beneficiaries of the Trust and as participants in the Scheme, certain
directors have an interest in these shares for the purposes of Section 324 of
the Companies Act 1985.
