NOTIFICATION OF TRANSFER OF SHARES OUT OF TREASURY

Wolseley plc (the "Company") wishes to announce that on 25 May 2016, it transferred 117,359 ordinary shares of the Company of 10 ⁵³/₆₆ pence each held by the Company in treasury ("Treasury Shares") to US employees of the Wolseley Group in satisfaction of options and awards under the Company's Employee Share Purchase Plan 2011.  The exercise price of each share under option was £33.48.

As a consequence of that transfer, the Company now holds 14,425,414 Treasury Shares and its issued share capital (excluding Treasury Shares) is 252,210,692.

The total voting rights figure (of 252,210,692) may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Conduct Authority's Disclosure and Transparency Rules.

This disclosure is made pursuant to the Financial Conduct Authority's Listing Rule 12.6.4 R.
