Genesis Emerging Markets Fund Limited (the 'Company')

Audit Tender

The Company announces its intention to recommend to shareholders, for approval at the 2017 AGM, the appointment of KPMG Channel Islands Limited as the auditor of the Company for the financial year ending 30^th June 2018.

The Company stated its intention to tender the audit in its Annual Report and Accounts for the financial year ending 30^th June 2016 and a thorough tender process, overseen by the Audit and Risk Committee, has been undertaken following changes to the UK Corporate Governance code and EU regulation which require audit tendering and rotation. This proposed change of auditor follows a recommendation by the Audit and Risk Committee to the Board based on the outcome of the tender process.

PricewaterhouseCoopers CI LLP ('PwC'), the Company's current auditor will undertake the audit of the Company's accounts for the financial year ending 30^th June 2017, having been reappointed at the 2016 AGM.

The Board would like to thank PwC for their significant contribution as the Company's auditor for more than 10 years, and also the other firms who took part in the tender.
