Genesis Emerging Markets Fund Limited ("the Fund") 30th October 2009 Results of Extraordinary General Meeting The Board of the Fund announces that at the Extraordinary General Meeting held on 30th October 2009, the special resolutions containing proposals for a share split, redenomination of share capital, amendments to the Memorandum and adoption of new Articles of Incorporation were duly passed. The Fund's participating shares will be redominated and commence trading in redenominated form on the London Stock Exchange at 8.00 a.m. on 2nd November 2009. Voting Rights and Capital As of 2nd November 2009, the Fund's capital will consist of 134,963,060 ordinary shares with voting rights. Therefore, the total number of voting rights in the Fund is 134,963,060. The above figure (134,963,060) may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their nterest in the Fund under the FSA's Disclosure and Transparency Rules. Results of Annual General Meeting The Board also announces that all resolutions proposed at the Annual General Meeting of the Fund held on 30th October 2009 were duly passed. Changes of Director As foreshadowed in the Fund's Annual Report, following the Annual General Meeting, Jeremy Paulson-Ellis has retired from the Board with immediate effect. The Board wishes to express their gratitude to Mr. Paulson-Ellis for his contribution to the strong reputation and continued success of the Fund. Throughout his tenure as a Director, his extensive knowledge of - and long experience in - developing countries has enabled him to act as a source of invaluable advice and guidance. The Board is pleased to announce the appointment of Dr. John Llewellyn as a Director effective immediately following the Annual General Meeting, subject to regulatory consent. Dr. Llewellyn is the founder of Llewellyn Consulting, a London-based consultancy specialising in macroeconomics and environmental economics. From 1995 to 2008 he was Global Chief Economist and then Senior Economic Policy Advisor at Lehman Brothers. Previously he spent seventeen years at the OECD in Paris: in charge of international economic forecasting and policy analysis and, latterly, as Head of the Secretary-General's Private Office (Chief of Staff).
