Resolutions Passed at EGM

At the Extraordinary General Meeting of the Company held on 8 September 1999,
all resolutions were duly passed. The authority for the Company to purchase
its own shares conferred by the resolutions is conditional upon the approval
of warrantholders. A quorum was not present at the separate general meeting of
warrantholders held on 8 September 1999 and the meeting was adjourned until
3.00 pm on 14 September 1999 at 25 Lovat Lane, London EC3.
