At the Annual General Meeting held on 11 May 2000, all resolutions were duly
passed.
Mr Barry Bateman retired as a Director and Mr Simon Fraser was appointed as a
Director, both with effect from 11 May 2000.
The resolutions passed under 'Special Business' were as follows:
The Directors authority to allot a limited number of currently unissued
ordinary shares for cash without first offering such shares to existing
ordinary shareholders pro rata to their existing holdings has been renewed.
The Company's authority to purchase its shares for cancellation has been
renewed up to a limit of 14.7% of the number of ordinary shares in issue on 24
February 2000.
The maximum aggregate fees payable to directors (excluding amounts payable
under any other provision of the Company's Articles of Association) have been
increased from £50,000 to £100,000.
