Admission of Placing Shares and Total Voting Rights

Further to the Company's announcements dated 26 and 27 January 2022 in relation to the Company's acquisition of Capital Currencies Limited, Placing with new shareholders and Subscription by certain directors of New Ordinary Shares at a price of 26.5 pence per share, the Company announces that the 3,196,242 Placing shares were admitted to trading today. Following Admission the Company's issued share capital comprises 23,473,824 ordinary shares, with no shares held in treasury, and therefore the total number of voting rights in the Company is 23,473,824.

Application has also been made for the 86,792 Subscription shares to be Admitted to trading on AIM ("Admission of the Subscription shares") and Admission of the Subscription shares is expected to take place on or around 7^th February 2022. Following Admission of the Subscription shares, the Company's issued share capital will comprise 23,560,616 ordinary shares, with no shares held in treasury, and therefore the total number of voting rights in the Company will be 23,560,616.

The total voting rights figures above may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure Guidance and Transparency Rules of the Financial Conduct Authority.
