First Property Online plc (the 'Company')

Director's Shareholding

The Company received notification on 7 January 2002 that, on that date,
Thaddeus Limited, a company owned as to 75 per cent. by Mr Benyamin Habib,
Chief Executive Officer of the Company and as to 25 per cent by Mr Habib's
wife, acquired 675,000 ordinary shares in the Company at a price of 2.625
pence per share.

Following this acquisition, Mr Habib is beneficially interested in 13,161,783
ordinary shares, representing approximately 14.24 per cent. of the Company's
issued ordinary share capital.
