          Result of Extraordinary General Meeting of CPD Online plc

                                                             28 August 2001



The Board of First Property Online plc announces that, at the Extraordinary
General Meeting of CPD Online plc held earlier today, the ordinary resolution
to approve the sale of the Company's two subsidiaries, Commercial Property
Database Limited and CPD Limited to First Property Online plc, as previously
announced on 1 August 2001, was duly passed.



Subject to satisfaction of the conditions in the Sale Agreement, at
completion, application will be made for six million new ordinary shares in
First Property Online plc to commence trading on AIM, which is expected to
take place on Friday 31 August 2001.  The new ordinary shares will rank pari
passu in all respects with the existing shares of the Company.
