       FirstGroup plc - Notification of Directors' Interests in Shares

On 15 August 2001, the executive directors of FirstGroup plc listed below were
granted the right ('Option') to subscribe for shares of 5p each in the Company
pursuant to the terms of the FirstGroup Executive Share Option Scheme.

The Options are exercisable at a price of 346.5 pence per Share from and
including 15 August 2004, subject to the satisfaction of performance criteria,
and will lapse on 14 August 2011. The consideration for the grant of the
Options was nil.
