The issuer advises that the following replaces the Director's Shareholding
announcement released on 6 July 2001 at 9.41 a.m. under RNS number 4958G.

The revised beneficial holding of Moir Lockhead following this transaction
should be 1,440,723 and not 3,828,234 as stated in the original announcement.
All other details remain unchanged. The amended text of the announcement is
set out below:

FirstGroup plc ('the Company') announces that following the transfer for NIL
consideration on 6 July 2001 of 10,000 ordinary shares of 5 pence each in the
Company to the Archie Foundation (the Aberdeen Royal Children's Hospital
Appeal), Moir Lockhead, a director of the Company, has a beneficial interest
in 1,440,723 shares in the Company.
