BID TALKS DISCONTINUED
On 23 October 2002, in response to a sharp movement in the share price, the
Board of Flomerics Group plc was obliged to advise shareholders that it had
received a preliminary approach for the acquisition of the company. It was
emphasised at the time that the discussions were at a very early stage and that
there was no certainty that the approach would lead to a formal offer.
Since that announcement, the Board has received further expressions of interest
from other potentially interested parties and has been considering these with
its advisers. The discussions with the interested parties have been protracted
and the board cannot see material progress towards an offer that it would
recommend to shareholders. Accordingly, the Board advises shareholders that it
has decided to discontinue these discussions.
The preliminary announcement of the company's results for the financial year
ended 31 December 2002 is scheduled for 27 February 2003.
