Placing of shares
Power Leisure plc announced today 26th March 2002 that Goodbody Stockbrokers and
ING Barings have successfully placed 6,696,671 existing ordinary shares in Power
Leisure principally with institutional investors in Ireland and the UK on behalf
of a number of existing shareholders at a price of €4.55 per share (stg£2.80).
The following sales were undertaken by the Directors and Major Shareholders:

Ross Ivers, Finance Director, Power Leisure said:

oversubscribed. The free float has increased to 57% and the investor base has
been further strengthened and expanded which will improve liquidity in the stock
thereby benefiting all shareholders. We are delighted that ICC can avail of
this exit mechanism and are grateful for their assistance during their
participation in Power Leisure plc.'
The Lock-in Deed put in place at flotation in December 2000 expires on 24th July
2002. Under it there are restrictions on the number of shares the Directors and
Rowan Nominees can sell without the approval of Goodbody Stockbrokers and ING
Barings. Stewart Kenny has agreed to an extension to the Lock-in Deed in
relation to his remaining shareholding until 20 March 2003.
John Corcoran's beneficial shareholding includes 137,171 shares held by his
spouse.
Peter O'Grady Walshe's beneficial shareholding includes 605,248 shares held by
his spouse. In addition, Peter O'Grady Walshe is a trustee of a discretionary
trust, which is the beneficial owner of 107,200 shares. He has a non-beneficial
interest in those shares.
Rowan Nominees holds 3,098,107 shares for funds managed by HgCapital, formerly
Mercury Private Equity, with which Ian Armitage is managing director. Ian
Armitage, a director of Power Leisure, has a beneficial interest in 32,460 of
those shares. The registered holders for Rowan Nominees are Rowan Nominees
Limited, Rowan Nominees Limited account RR and Bank of New York Nominees
Limited.
ICC Bank plc is now a subsidiary of HBOS plc.
