Surrender and Cancellation of Unclaimed Flutter Shares
Further to the announcement on 28 March 2023, Flutter Entertainment plc ("Flutter") announces that on 3 July 2023, Computershare Investor Services Inc. (the "Depositary") surrendered 1,310 ordinary shares of €0.09 each in the share capital of Flutter to Flutter for nil consideration (the "Surrendered Shares"). The Surrendered Shares have been cancelled.
The Surrendered Shares represented ordinary shares in Flutter which former shareholders of The Stars Group Inc. ("Stars") had been entitled to following completion of the combination of Stars and Flutter, which became effective on May 5, 2020 (the "Effective Date") and which had been held on trust on behalf of such shareholders by the Depositary. Former Stars shareholders who did not exchange their Stars common shares for Flutter ordinary shares by the deadline of 4 May 2023 (being the date that was three years less one day from the Effective Date) have now lost their right to receive the Flutter ordinary shares to which they were entitled as a result of the Combination and are deemed to have surrendered to Flutter such Flutter ordinary shares, together with all entitlements to dividends, distributions and interest thereon held for such former Stars shareholders.
Following the above surrender and cancellation, as at the date of this announcement, Flutter's issued share capital is 176,597,848 ordinary shares. The cancelled shares represented 0.00074% of Flutter's issued share capital immediately prior to the cancellation.
The total number of voting rights in Flutter as at the date of this announcement is 176,597,848. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Flutter under the Irish Transparency (Directive 2004/109/EC) Regulations 2007 (as amended) and the UK Disclosure and Transparency Rules.
