Allotment and Issue of New Ordinary Shares and New C Shares and Transaction in Own Shares

The Board of Foresight 4 VCT plc is pleased to announce that in accordance with the terms of a public Open Offer and an Tender Offer dated 5 March 2015 (the "Offers") that:

ORDINARY SHARES

Allotment

581,703 Ordinary Shares under the Open Offer were allotted and issued on 30 June 2013 at 85.80 pence per Ordinary Share.

Application has been made for the admission of the 581,703 Ordinary Shares in the Company to the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's market for listed securities.

Transaction in Own Shares

The Board of Foresight 4 VCT plc further announces that on 30 June 2013 the Company purchased for cancellation 599,211 Ordinary Shares at 83.30p per share.

Following this purchase there are now 38,719,418 Ordinary Shares in issue.

C  ORDINARY SHARES

Allotment

803,705 C Shares under the Open Offer were allotted and issued on 30 June 2013 at 98.70 pence per C Share.

Application has been made for the admission of the 803,705 C Shares in the Company to the Official List of the UK Listing Authority and to trading on London Stock Exchange plc's market for listed securities.

Transaction in Own Shares

The Board of Foresight 4 VCT plc further announces that on 30 June 2013 the Company purchased for cancellation 828,097 C Shares at 95.80p share.

Following this purchase there are now 18,680,904 C Shares in issue.
