Circular to Shareholders

The Board of Foresight Technology VCT plc ('the Company') announces that a
circular has been despatched to Shareholders seeking approval for certain
amendments to the Articles of Association of the Company in relation to the
acquisition of significant shareholdings in the Company. Full details are
contained in the circular and the proposals require the approval of Shareholders
and, in addition, separate approvals of the Ordinary and 'C' Shareholders, and
an Extraordinary General Meeting and separate class meetings of the Ordinary and
'C' Shareholders have been convened commencing from 10.00am on 18 November 2004.
