Statement re Possible Merger

Update on possible merger between Foresight VCT plc and Foresight 2 VCT plc (the "Companies").

Since the announcement on 8 June 2015 of a possible merger, the Boards of the Companies confirm that progress has been made in developing proposals for the merger of the Companies. However both Boards have agreed that before finalising terms they should wait until the regulatory changes affecting Venture Capital Trusts that were recently announced by HM Revenue & Customs have been clarified, including the timing of implementation and the impact they are likely to have on the future management of Venture Capital Trusts.
