Result of scrip dividend and change to total voting rights
Franchise Brands plc (AIM: FRAN), a multi-brand franchise business, announces the issue of 388,199 new ordinary shares of 0.5 pence each in the Company ("New Ordinary Shares") as a result of the election by shareholders to take the scrip dividend alternative for the 2019 Final Dividend, details of which were announced on 30 March 2020. This represents an uptake by shareholders of approximately 63 per cent. of the Company's issued ordinary shares and reduces the Final Dividend cash payment to £228,695.
Application will be made for the admission to trading on AIM ("Admission") of the 388,199 New Ordinary Shares and it is expected that Admission will occur on or around 8 June 2020.
Total voting rights
Upon Admission, the Company's issued share capital will consist of 95,654,512 ordinary shares of 0.5p each ("Ordinary Shares"), each with one voting right. There are 25,000 Ordinary Shares held in treasury and therefore the total number of voting rights in the Company will be 95,629,512. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
