Notification of Transactions of Directors, Persons Discharging Managerial
Responsibility or Connected Persons

On 6 July 2006 Fuller, Smith & Turner P.L.C. announced the results of its
off-market tender offer to holders of its B shares subject to shareholder
approval at the Company's AGM on 25 July 2006; this approval has now been given.
Included in the 1,849,276 shares tendered were interests of the following
Persons Discharging Managerial Responsibility "PDMR" in the Company.

The table below sets out the details of the shares tendered and the details of
the resultant Holdings in the Company:

disclosure is made due to the potential interests of Paul Clarke and Marie
Gracie as trustees of the scheme.
