Publication of Circular and Notice of General Meeting
Further to the announcement made on 29 May 2014, Future plc (LSE: FUTR, "Future," the "Company") has today published and sent to all holders of ordinary shares in the capital of Future ("Future Shareholders") a circular (the "Circular") and related Form of Proxy in relation to the proposed disposal of the Sport titles and the Craft titles (the "Disposal") and the proposed transfer of the listing category of its ordinary shares out of the category of a "premium listing (commercial company")" on the Official List and into the category of a "standard listing" on the Official List (the "Proposed Transfer"). The Circular has been prepared in accordance with the Listing Rules of the Financial Conduct Authority.
The Disposal is subject to the approval of Future shareholders by way of an ordinary resolution and the Proposed Transfer is subject to the approval of Future shareholders by way of a special resolution.
Accordingly, the Circular contains a notice convening a general meeting (the "General Meeting") of the Company which is to be held at the offices of Future plc, 2 Balcombe Stree, London NW1 6NW at 11.00a.m. (London time) on 15 July 2014.
A copy of the Circular and the notice of general meeting are available for viewing on the Company's website at http://www.futureplc.com/investors/. A copy of the Circular and the Form of Proxy has also been submitted to the National Storage Mechanism, and will shortly be available for inspection on the National Storage Mechanism's website http://www.morningstar.co.uk/uk/nsm.
