DIRECTORS' INTERESTS IN SHARES
Future plc (the 'Company'), the international special-interest media group,
announces that it received notification on 12 February 2007 from Abacus
Corporate Trustee Limited, the Trustee of the Company's Employee Benefit Trust
of a change in its holding of the Company's ordinary shares of 1p each:
On 12 February 2007, in accordance with the previously announced Restricted
Stock Awards, it had transferred to individuals (including in respect of the
executive Directors as set out below) a total of 473,704 shares, representing
0.15% of the issued share capital of the Company, being the balance of shares
which had vested (one-third of total awards), less the number of shares sold to
meet the tax and NI liability on vesting; and
In order to meet the tax and NI liability on vesting referred to above, on 9
February 2007, the Employee Benefit Trust had sold a further 138,143 shares in
the Company (at a gross average price of 44p per share), representing 0.04% of
the issued share capital of the Company (it had previously announced the sale of
238,600 shares on 18 January 2007).
Following these transactions, the Employee Benefit Trust owns 1,700,894 shares
representing 0.52% of the issued share capital of the Company. Stevie Spring as
Chief Executive Officer and John Bowman as Group Finance Director, along with
other employees, have a technical interest in those shares by virtue of them
being members of a class of beneficiary.
As a result of the vesting of one-third of her Restricted Stock Award, Stevie
Spring's beneficial interest in shares of the Company has increased by 138,378
(comprising the vesting of 248,447 of her Restricted Stock Award shares less the
sale of 110,069 of those shares by the Employee Benefit Trust in order to meet
the tax liability arising on the vesting of the Award). Stevie Spring has
undertaken not, without the consent of the board of the Company, to dispose of
any shares that vest under the Restricted Stock Award (other than any sold to
pay the tax and NI liability that arises on vesting) while she remains employed
with the Company. Stevie Spring's total beneficial interest in shares is 163,378
shares, which represents 0.05% of the Company's issued share capital.
As a result of the vesting of one-third of his Restricted Stock Award, John
Bowman's beneficial interest in shares of the Company has increased by 55,701
(comprising the vesting of 100,000 of his Restricted Stock Award shares less the
sale of 44,299 of those shares by the Employee Benefit Trust in order to meet
the tax liability arising on the vesting of the Award). John Bowman has
undertaken not, without the consent of the board of the Company, to dispose of
any shares that vest under the Restricted Stock Award (other than any sold to
pay the tax and NI liability that arises on vesting) while he remains employed
with the Company. John Bowman's total beneficial interest in shares is 689,601
shares, which represents 0.21% of the Company's issued share capital.
