Deferred Consideration on March 2001 Acquisition of Gerald Wood Homes
Galliford Try plc announces that the deferred consideration to be paid on 4
January 2002 to the vendors of Gerald Wood Homes Ltd following its acquisition
by Galliford Try in March 2001 totals £550,000 of which £391,000 will be
satisfied by the issue of 994,405 ordinary 5p shares in Galliford Try plc,
with the remainder by the issue of 10 year loan notes.
An application will be made to the UK Listing Authority and to the London
Stock Exchange for the admission of these shares to the official list and for
trading on the London Stock Exchange. The ordinary shares will be issued at
39.32p each, being the average mid-market close over the ten trading days
ending on 3 January 2002, and will rank pari passu with existing ordinary
shares in issue.
