At the Annual General Meeting of the company held today a special resolution was
passed empowering the company to make market purchases of its own shares within
the meaning of Section 163 of the Companies Act 1985. The board has no present
intention of exercising such authority and would only do so when satisfied it is
in the best interests of the company and that the purchase would increase the
earnings per share. The maximum number of shares which could be purchased is
10,996,734 representing 10% of the company's issued share capital and the
maximum price that may be paid will be limited to no more than 5% above the
average of the middle market quotations of the company's shares as derived from
the Daily Official List of the London Stock Exchange for the five business days
prior to purchase. The authority will expire at the conclusion of the next
Annual General Meeting.
