                     Total Voting Rights and Share Capital


In conformity with the EU Transparency Directive following its implementation
through the provisions of the Financial Services Authority's Disclosure and
Transparency Rules, we would like to notify the market of the following:

As at the date of this announcement the Company's share capital consists of
31,128,622 ordinary shares of 5 pence each ('Ordinary Shares') with voting
rights.  12,746 Ordinary Shares are held in treasury.

Therefore, the total number of voting rights in the Company is 31,115,876.

The above figure (31,115,876 Ordinary Shares) may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, the
Company under the Disclosure and Transparency Rules.
