("Gamma Communications plc" or the "Company")

Directors Dealings and Company Loan Repayment

The Company has today been informed of the following exercises of options by Directors of the Company and subsequent sales of shares.

On 31 March, 2016 Mr Bob Falconer, CEO of the Company: -

·    Gifted 2,664,264 Ordinary shares in the Company to an established Interest in Possession Trust of which Bob, his wife and children are the beneficiaries;

·    Exercised options over 548,740 Ordinary shares in the Company for nil consideration; and

·    Sold 907,858 Ordinary shares, representing 0.99 per cent of the Company's issued share capital and will use the proceeds of sale to repay the loan of £2,591,460 made by the Company to Bob prior to the Company's IPO in October 2014 and the National Insurance and tax due on the exercise of the options.

Bob's aggregate resultant shareholding in the Company including the Interest in Possession Trust is 4,208,075 Ordinary shares, representing 4.6 per cent of the issued share capital of the Company.

On 31 March, 2016 Mr Andrew Belshaw, CFO of the Company exercised options over 71,765 Ordinary shares in the Company for nil consideration and sold 71,765 Ordinary shares, representing 0.08 per cent. of the Company's issued share capital. Andrew's resultant shareholding in the Company remains unchanged at 277,002 Ordinary shares, representing 0.30 per cent of the issued share capital of the Company.

On 31 March, 2016 Mr Richard Bligh, COO of the Company exercised options over 134,778 Ordinary shares in the Company for nil consideration and sold 144,778 Ordinary shares, representing 0.16 per cent. of the Company's issued share capital. Richard's aggregate resultant shareholding in the Company is 412,222 Ordinary shares, representing 0.45 per cent of the issued share capital of the Company.

All shares were sold at 410p per share.
