Acquisition of
eWare Interactive Limited
GB Group plc ('GB'), the Customer Relationship Management ('CRM') and database
specialist, today announces the acquisition of eWare Interactive Limited
('eWare') for a maximum consideration of £465k in cash. GB will also assume
£144k of eWare's debt. All of the consideration is contingent.
Up to £400k of consideration will become payable subject to the profitable
conversion of eWare's significant sales pipeline over the next 12 months. A
further £65k of consideration will become payable to eWare contingent on tax
savings to the extent that they arise from eWare's historical losses.
eWare, which is based in Congleton, Cheshire, specialises in the sale and
support of data analysis software and operates in similar markets to GB's
DataInsight and DataManagement operations. Data analytics is the application of
powerful computer software and statistical techniques to locate valuable
information and identify trends from within large databases. Such databases are
typically held by large businesses with many customers such as banks and retail
organisations.
The combination of eWare and GB's existing DataInsight and DataManagement
operations will create a larger business with the ability to exploit further
efficiencies and economies of scale. As a result of the acquisition, annual
cost savings of around £250k will be made across the combined businesses.
eWare had a turnover of £380k and after-tax losses of £122k in the year to 31
March 2002. At 31 March 2002, eWare had net liabilities of £198k. At 29
October 2002, eWare's net liabilities acquired by GB had reduced to £144k as a
result of the profitable operation of eWare in the period up to acquisition.
The acquisition is expected to be earnings enhancing.
eWare has an impressive customer base which includes Mothercare, Chase de Vere
Bank, Screwfix and the Bristol & West Building Society. These customers will
complement GB's existing customers which include BskyB, W H Smith, Npower and
Britannia Music.
The acquisition of eWare also brings with it a strong management team headed by
David Cockerill, Managing Director of eWare who has 15 years experience in the
sector. David will be appointed Managing Director of GB's DataInsight and
DataManagement businesses and will sit on GB's Executive Management Board.
