                          GB Group Plc (the 'Company')

                   Exercise of Options and Additional Listing

The Company announces today that two former employees of the Company have
exercised options over 21,788 ordinary shares of 2.5p each in the Company
('Shares') under the Company's Savings Related Share Option Scheme. The exercise
price was 7.6p per share.

Accordingly, an application has been made for 21,788 new Shares to be admitted
to the Official List of the UKLA and to trading on the London Stock Exchange's
market for listed securities and dealings are expected to commence on 4 June
2004.

Following this transaction the number of shares in issue will be 79,612,628.
