                          GB Group Plc (the 'Company')

                   Exercise of Options and Additional Listing

The Company announces today that two former employees of the Company have
exercised options over a total of 27,947 ordinary shares of 2.5p each in the
Company ('Shares'):

12,947 ordinary shares relate to the Company's Savings Related Share Option
Scheme; and

15,000 ordinary shares relate to the Company's Executive Share Option Scheme.

The exercise prices were 7.6p per share and 11.75p per share respectively.

Accordingly, an application has been made for 27,947 new Shares to be admitted
to the Official List of the UKLA and to trading on the London Stock Exchange's
market for listed securities and dealings are expected to commence on 2 July
2004.

Following this transaction the number of shares in issue will be 79,640,575.
