                          GB Group Plc (the 'Company')

                   Exercise of Options and Additional Listing

The Company announces today that a former employee of the Company has exercised
options over a total of 70,000 ordinary shares of 2.5p each in the Company
('Shares') under the Company's Executive Share Option Scheme. The exercise
prices of the options are as follows:

   • 10,000 shares at 8.45 pence per share
   • 30,000 shares at 11.75 pence per share
   • 20,000 shares at 14.25 pence per share; and
   • 10,000 shares at 14.50 pence per share

Accordingly, an application has been made for 70,000 new Shares to be admitted
to the Official List of the UKLA and to trading on the London Stock Exchange's
market for listed securities and dealings are expected to commence on 29
November 2004.

Following this transaction the number of shares in issue will be 79,815,594.
