                          GB Group Plc (the 'Company')

                   Exercise of Options and Additional Listing

The Company announces today that four former employees of the Company have
exercised options over a total of 96,113 ordinary shares of 2.5p each in the
Company ('Shares') under the Company's Savings Related Share Scheme. The
exercise prices of the options are as follows:

   •66,709 shares at 7.6 pence per share
   •26,525 shares at 11.6 pence per share; and
   •2,879 shares at 15.8 pence per share.

Accordingly, an application has been made for 96,113 new Shares to be admitted
to the Official List of the UKLA and to trading on the London Stock Exchange's
market for listed securities and dealings are expected to commence on 17
December 2004.

Following this transaction the number of shares in issue will be 79,911,707.
