                          GB Group Plc (the 'Company')

                   Exercise of Options and Additional Listing

The Company announces today that a former employee of the Company has exercised
his options over 10,019 Ordinary Shares of 2.5p each in the Company ('Shares')
under the Company's Savings Related Share Option Scheme. An option over 6,657
Ordinary Shares was exercised at 7.6p per share and a further option over 3,362
Ordinary Shares was exercised 11.6p per share.

Accordingly, an application has been made for 10,019 new Shares to be admitted
to the Official List of the UKLA and to trading on the London Stock Exchange's
market for listed securities and dealings are expected to commence on 11 August
2004.

Following this transaction the number of shares in issue will be 79,650,594.
