                NOTIFICATION OF DIRECTORS' INTERESTS IN 
             THE SHARE CAPITAL OF PHONELINK PLC(THE 'COMPANY')

Notice is hereby given that Graham Ramsey and Richard Law, the Company's Chief
Executive Officer and Finance Director respectively, have today been awarded
options over ordinary shares in the company.  The details of the awards are as
follows:

Graham Ramsey     200,000 ordinary 2.5p shares
Richard Law       150,000 ordinary 2.5p shares

The exercise price of the options is 100.5 pence per share.  The options will be
exercisable (subject to the rules of the Company Share Option Scheme) between 16
December 2002 and 15 December 2009.

Following this notification Graham Ramsey has options over 1,050,000 ordinary
2.5p shares and Richard Law has options over 411,080 ordinary 2.5p shares.
