GCP Asset Backed, which invests in asset backed loans, would like to notify the market of the following in conformity with the FCA's Disclosure Guidance and Transparency Rules:
As at 28 September 2018, the Company's issued share capital consists of 317,043,270 ordinary shares and therefore the total voting rights in the Company is 317,043,270. This figure may be used by shareholders as the denominator for the calculations by which they may determine whether or not they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
On 7 September 2018 the Company announced details of a fully pre-emptive offer of C shares (the "Issue"). Any C shares to be allotted pursuant to the Issue are expected to be listed and admitted to trading on 2 October 2018. Accordingly, the above figure of 317,043,270 does not include C shares to be allotted pursuant to the Issue and in respect of which a further TVR announcement will be made in due course.

The Company seeks to meet its investment objective by making investments in a diversified portfolio of predominantly UK based asset backed loans which have contracted, predictable medium to long term cash flows and/or physical assets.
