GCP Infrastructure Investments Limited
("GCP Infrastructure" or the "Company")

GCP Infrastructure, the only UK listed fund focused primarily on investments in UK infrastructure debt has made an application for 632,235 Ordinary Shares of £0.01 each fully paid in the Company ("New Shares") to be admitted to the Official List of the Financial Conduct Authority (the "FCA") and to trading on the London Stock Exchange. It is expected that these New Shares will be admitted to trading on 3 March 2017.
The application is being made pursuant to the scrip dividend alternative in lieu of cash for the interim dividend for the period from 1 October 2016 to 31 December 2016. Elections for a scrip dividend were received in respect of 5.61% of the Ordinary Shares in issue as at the record date of 27 January 2017. When issued, these New Shares will rank pari passu with the existing Ordinary Shares.
Following admission of the New Shares, the Company's issued share capital will consist of 733,743,716 Ordinary Shares of £0.01 each. With effect from 3 March 2017, the total number of issued shares with voting rights will be 733,743,716.
The above figure of 733,743,716 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or of a change to their interest in, GCP Infrastructure Investments Limited under the FCA's Disclosure and Transparency Rules.
