The Board of Directors of GCP Infra, the only UK listed fund focused primarily on investments in UK infrastructure debt "the Board" announces the following Board composition changes.
As announced on 17 September 2019 , David Pirouet notified the Board of his intention to retire as a Non-Executive Director and Chair of the Audit and Risk Committee at the conclusion of the Company's 2021 Annual General Meeting. Following the conclusion of today's Annual General Meeting, we confirm that David Pirouet has retired with effect from today, 10 February 2021.
The Board is pleased to announce the appointment of Steven Wilderspin as a Non-Executive Director of the Company with effect from today. Steven will Chair the Audit and Risk Committee and has also been appointed as a member of the Management Engagement Committee.
Steven is a Jersey resident and is a Fellow of the Institute of Chartered Accountants of England and Wales. He has acted as an independent Director of a number of public and private investment funds and commercial companies since 2007. In 2017 he retired as Chairman of the Audit and Risk Committee of 3i Infrastructure after ten years' service. Steven is currently a Non-Executive Director and Chair of the Risk Committee of Blackstone Loan Financing Limited and a Non-Executive Director and Chair of the Audit and Risk Committee of HarbourVest Global Private Equity Limited, both listed on the London Stock Exchange. Prior to 2007, Steven was a Director at Maples Finance Jersey, with responsibility for their fund administration and fiduciary businesses. Steven began his career at PwC in London in 1990.
This addition to the Board is being made as part of the Company's medium-term board stability and succession plan, in order to achieve an orderly evolution of the Board composition.
Michael Gray, in addition to his current Committee responsibilities, has joined the Nomination Committee upon David Pirouet's retirement from the Board.
