Notice of AGM and B-BBEE Annual Compliance Report
LONDON, 28 APRIL 2023
Notice is hereby given that the Company's Annual General Meeting ("AGM"), will be held at 123 Victoria Street, Westminster, London, SW1E 6DE on Tuesday 27 June 2023, at 10:00 a.m. (British Summer Time). The AGM will be an in-person only event.
Those shareholders registered on the Company's shareholder register at 11:00 a.m. (British Summer Time) on Thursday 15 June 2023, will be eligible to participate in and vote at the AGM. Accordingly, the last day to trade to participate and vote at the AGM is Monday 12 June 2023.
The Company has today distributed the notice of AGM ("Notice of AGM") to shareholders on the shareholder register as of 21 April 2023, electronically (where practicable) or in hard copy by post. A copy of the Notice of AGM, which includes an explanatory memorandum relating to the proposed resolutions to be voted on at the AGM, as well as pro-forma proxy forms, can also be found on the Gemfields website at www.gemfieldsgroup.com/notice-of-agm.
Shareholders are further notified that, in accordance with paragraph 16.21 (g) and Appendix 1 to Section 11 of the JSE Listings Requirements, notice is hereby given that the Company's annual compliance report in terms of section 13G(2) of the Broad-based Black Economic Empowerment Act, 2003, has been published and is available on the Gemfields website at www.gemfieldsgroup.com.
