Distribution of Notice of AGM
LONDON, 29 APRIL 2022
Further to the Company's announcement on 19 April 2022, pursuant to which shareholders were notified that the Company's Annual General Meeting ("AGM") will be held on Wednesday 29 June 2022 at 10:00 a.m. (British Summer Time), shareholders are hereby notified that the venue of the AGM will now be The Rubens at the Palace, 39-43 Buckingham Palace Road, London, SW1W 0PS.
Furthermore, the Company has today distributed the notice of AGM ("Notice of AGM") to those shareholders on the shareholder register as of 22 April 2022, both electronically (where practicable) and in hard copy by post. A copy of the Notice of AGM, which includes an explanatory memorandum relating to the proposed resolutions to be voted on at the AGM, as well as pro-forma proxy forms, can also be found on the Gemfields website at www.gemfieldsgroup.com/notice-of-agm .
Shareholders are reminded that those shareholders registered on the Company's shareholder register at 11.00 a.m. (British Summer Time) on Friday, 24 June 2022, will be eligible to participate and vote at the AGM and, accordingly, the last day to trade to participate and vote at the AGM is Tuesday, 21 June 2022. Further, the Company intends to provide a live interactive webcast facility for shareholders unable to attend the AGM in person. Further details on how to access and participate at the AGM will be made available to shareholders via a SENS and RNS announcement nearer to the date of the AGM .
