To conform with the Transparency Directive's transitional provisions, Genus plc
announces that its share capital consists of 55,844,730 ordinary shares of 10p
each ('Ordinary Shares') with voting rights.  No Ordinary Shares are currently
held in treasury.


The above figure (55,844,730 Ordinary Shares) may be used by shareholders as the
denominator for the calculations by which they will determine if they are
required to notify their interest in, or a change to their interest in, Genus
plc under the FSA's Disclosure and Transparency Rules.
