ANNOUNCEMENT OF ALLOTEMENT OF SHARES IN GEORGIA CAPITAL PLC

Georgia Capital PLC ("GCAP") today announces an allotment of 3,435,438 ordinary shares in GCAP pursuant to the Exchange Offer it announced on 18 November 2019, which closed for acceptances on 17 December 2019.

Following this allotment, the total number of GCAP ordinary shares in issue is 40,169,775. This figure may be used by shareholders in GCAP as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the Disclosure and Transparency Rules.

Application has been made for the ordinary shares so allotted to be admitted to the Official List of the Financial Services Authority and to trading on the London Stock Exchange's main market for listed securities on or around 23 December 2019.
