Transfer of Shares from Treasury to EBT and Total Voting Rights

Georgia Capital PLC announces the transfer of 686,468 ordinary shares to JSC Georgia Capital Executive Equity Compensation Trust (the Trust).

In accordance with Listing Rule 12.6.4, Georgia Capital PLC discloses the following information:

Date of transfer	27 June 2019
Number of ordinary shares transferred	686,468
Transfer price	£10.70
Total number of shares held in treasury following the transfer	198,175
Total number of shares in issue following the transfer (excluding shares held in treasury)	37,186,537

Therefore, the total number of voting rights in the Company is 37,186,537 which is the number which may be used by shareholders as the denominator for calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company's shares under the FCA's Disclosure Guidance and Transparency Rules.
