Notification of transaction by connected person of Person Discharging Managerial Responsibilities - second announcement

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.4, Glencore International plc notifies that on 12 September 2011 FR Galaxy Holdings S.à r.l. (FR) notified the Company that:

1.     on 8 September 2011 FR entered into  share swap transactions, with a maximum term of three years, in respect of 31,875,000 ordinary shares of U.S. $0.01 each in the capital of the Company (Shares) listed on the London Stock Exchange at an initial price of £4.25 per Share. FR's affiliate, ECP Galaxy Holdings S.à r.l., also entered into similar share swap transactions in respect of 2,125,000 Shares at the same initial price per Share;

2.     FR is a connected person of Mr William Macaulay, a Director and person discharging  managerial responsibilities of Glencore International plc;

3.     the share swap transactions took place in London; and

4.     the share swap transactions constitute a notifiable transaction under DTR 3.1.2.
