Notification of transaction by connected person of Person Discharging Managerial Responsibilities

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1.2, Glencore International plc notifies that on 23 September 2011 FR Galaxy Holdings S.à r.l. (FR) notified the Company that:

1.     on the 23 September 2011 FR agreed to purchase 4,218,750 ordinary shares in the capital of the Company (Shares) at an average price per Share equal to £4.02. Also, FR's affiliate, ECP Galaxy Holdings S.à r.l., agreed to purchase 281,250 Shares at the same average price per Share;

2.     FR is a connected person of Mr. William Macaulay, a Director and person discharging managerial responsibilities of Glencore International plc;

3.     the purchases of these Shares will take place in London and will settle through the Euroclear system;

4.     the purchases of these Shares  constitute notifiable transactions under DTR 3.1.2; and

5.     the purchases of these Shares occurred in accordance with a trading plan entered into on 21 September 2011.
