Notification of transactions by connected person of Person Discharging Managerial Responsibilities

Pursuant to the Company's obligations under Disclosure and Transparency Rule 3.1, Glenore International plc (Glencore or the Company) notifies that on 5 February 2013 FR Galaxy Holdings S.à r.l. (FR) notified the Company that:

1.     FR had previously notified Glencore on 12 September 2011 that on 8 September 2011:(i) FR entered into certain share swap transactions in respect of a total of 31,875,000 ordinary shares in Glencore (the Shares) at an initial price of  £4.25 (the FRG Swap) per share; and (ii) FR's affiliate ECP Galaxy Holdings S.à r.l. (ECP), entered into similar share swap transactions in respect of a total of 2,125,000 Shares at the same initial price per Share (the ECP Swap), (the FRG Swap and the ECP Swap together being the Swaps);

2.     on 22 January 2013, the counterparty to the Swaps (the Counterparty) gave notice to partially terminate: (i) the FRG Swap in respect of 16,875,000 Shares; and (ii) the ECP Swap in respect of 1,125,000 Shares;

3.     as a result of the partial termination of the Swaps described in paragraph 2 above, on 29 January 2013: (i) the counterparty was obliged to physically deliver to FR 16,875,000 Shares at a price of USD 6.1469 per Share; and (ii) the Counterparty was obliged to physically deliver to ECP 1,125,000 Shares at the same price per Share;

4.     accordingly, FR and ECP respectively have taken delivery of the number of Shares described in paragraph 3 above.

FR is a connected person of Mr William Macaulay, a Director and person discharging managerial responsibilities of Glencore International plc.
